Terms of Service

These terms are between you (or the business you represent) and Space Cadet d.o.o., Ulica Ivana Šibla 17, 10000 Zagreb, Croatia (OIB 36241253193, MBS 081627179, Commercial Court in Zagreb), which operates Grace Period. By creating an account or using the service, you agree to these terms.

Grace Period helps you track overdue invoices and draft AI-written payment reminder emails, which you review and approve before they send.

Grace Period is not a collections agency, a debt collector, or a payment processor. We do not collect debts on your behalf, we do not negotiate with your clients, and we never receive, hold, or route your clients' money. Any payment link included in a reminder is your own — your Stripe link, your bank details — and payment always flows directly from your client to you.

We don't guarantee that any invoice will be paid, that any client will respond, or that our AI-drafted language will be effective. Grace Period is a tool that assists your own collections process; the relationship with your client remains yours.

You must be at least 18 and able to form a binding contract to use Grace Period. You're responsible for keeping your account credentials secure and for all activity that happens under your account. Provide accurate information when you sign up and when you enter invoice or client data.

When you connect a supported accounting platform, you authorize Grace Period to read your invoices, contacts, and payment status via that platform's official API. We never write to your books. You can disconnect any platform at any time from your dashboard; doing so stops future syncing but does not delete previously synced data (see our Privacy Policy for deletion).

If you don't use an accounting platform, you may enter invoices manually or import them via CSV. You're responsible for the accuracy of anything you enter or upload.

Every reminder Grace Period drafts — whether generated on request or by the autopilot — sits in a queue awaiting your approval, or your client's reply routing, before it reaches anyone. Once you approve a draft (or enable auto-approval for a specific stage), you are responsible for its content, tone, and accuracy, exactly as if you had written it yourself. Review what you approve.

You agree not to use Grace Period to:

• Send anything unrelated to legitimate invoice or payment follow-up
• Harass, threaten, or send content that violates fair debt-communication norms
• Send email to recipients who haven't engaged your services or been invoiced
• Attempt to abuse, overload, or reverse-engineer the platform or its email infrastructure
• Violate any law, or the terms of any accounting or email platform you connect

We may suspend accounts that abuse the email-sending infrastructure — it protects everyone's deliverability, including yours.

New workspaces get a free trial period; continued use afterward requires a paid subscription at the plan and price shown on our pricing page at the time you subscribe. Payments are processed by Polar, acting as merchant of record — Polar bills you, collects and remits any applicable sales tax or VAT, and issues your receipts. You can cancel anytime from your billing portal (Settings → Manage billing); cancelling stops future charges but doesn't retroactively refund the current billing period unless required by law. We will never change your price without telling you first, and nothing in these terms obligates you to pay for anything you haven't knowingly agreed to.

Grace Period integrates with third-party services — accounting platforms, Clerk, Convex, OpenRouter, Resend, and Vercel — each governed by its own terms. Connecting a third-party account is your choice and at your own discretion; we're not responsible for those services' availability, changes, or policies.

You own your data — your invoices, your client information, and the content of the reminders you approve. We own the Grace Period software, design, and brand. Using the service doesn't transfer ownership of either to the other party.

You may stop using Grace Period and request account deletion at any time by emailing hello@graceperiod.app. We may suspend or terminate accounts that violate §6, or if required by law.

Grace Period is provided "as is," without warranties of any kind, including uninterrupted availability or fitness for a particular purpose. To the maximum extent permitted by law, Space Cadet d.o.o.'s total liability arising from your use of the service is limited to the amount you paid us in the 12 months before the claim (zero, if you're on a free trial and haven't subscribed yet). We are not liable for indirect, incidental, or consequential damages, including unpaid invoices, client disputes, or lost business.

These terms are governed by the laws of Croatia, and any dispute not resolved informally will be subject to the exclusive jurisdiction of the courts of Zagreb, Croatia.

We may update these terms as the product evolves. We'll update the date at the top of this page, and for material changes, email the address on your account. Continued use of Grace Period after a change takes effect means you accept the updated terms.
